FanX — Terms of Use

1. Acceptance of Terms of Use

Capture Holdings Pte. Ltd., a company incorporated in Singapore ("FANX," "we," or "us"), operates the website available at https://fanx.co ("Site"). Through our Site, users can enjoy and participate in a vibrant online community centered around anime, premium animation, comedy, and other creative content ("Services").

Please take a moment to carefully read these Terms of Use, along with our Privacy Policy and Cookie Policy. Together, these documents form a legally binding agreement between FANX and you, whether as a registered member or simply a visitor.

If you (whether on behalf of yourself or the entity that you represent) do not agree to any of the Terms of Use, please do not accept and/or use the Services.

We may, in our sole discretion, modify or revise these Terms of Use at any time, and you agree to such modifications or revisions by your continued usage of the Services.

2. Eligibility

You must be at least eighteen (18) years old to use or access the Services. If you are under eighteen (18) years old, your use or access of the Services must be directly supervised by your parent or legal guardian, who agrees to be bound by these Terms of Use. Any use or access of the Services by anyone under eighteen (18) years old who is not directly supervised by an adult is strictly prohibited and in violation of these Terms of Use.

3. Registration of Accounts

In order to access certain features of the Services, you will need to register for an account ("Account") by providing accurate and complete information. You hereby represent and warrant that:

  • All information submitted by you is truthful and accurate;
  • You will maintain the accuracy of such information;
  • You are solely responsible for the activity that occurs on your account, and you must keep your account password secure; and
  • You must immediately notify FANX of any unauthorised use of your account or any breach of security.

FANX will not be liable for any loss or damage arising from the unauthorised use of your account, and you may be liable for the losses of FANX due to such unauthorised use.

You may delete your account at any time, for any reason, by following the instructions on the Services. FANX may terminate your account in the event you have breached these Terms of Use.

4. Access to the Services

FANX hereby grants you a non-transferable, non-exclusive, revocable, and limited license to use and access the Services, provided that:

  • You shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit any part of the Services, or any content displayed on the Services, without FANX's prior written authorization;
  • You shall not modify or alter any part of the Services;
  • You shall not access the Services through any technology or means other than the technology provided on the Services, or other authorised means FANX may designate;
  • You shall not sell access to the Services, or sell advertising, sponsorships, or promotions within the Services without FANX's prior written approval; and
  • You shall not use the Services to harass, threaten, or bully other users.

FANX reserves the right at any time to modify, suspend, or discontinue the Services with or without notice to you. You agree that FANX will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services. You further agree that FANX will have no obligation to provide you with any support or maintenance in connection with the Services.

Unless otherwise indicated, any future release, update, or other added functionality of the Services shall be subject to these Terms of Use.

You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers" that access the Services in a manner not humanly possible. You agree not to collect or harvest any personally identifiable information, including account names, from the Services or to use the communication systems provided by the Services (if any) for any solicitation purposes. You agree not to solicit, for commercial purposes, any users of the Services with respect to their content on the Services.

5. Subscription

Certain Services may be provided to you free of charge from time to time. Other Services require payment before you can access them. You may access the paid Services after you have successfully subscribed to a respective subscription plan or top up with coins ("Paid Services"), which is subject to a payment of fee(s) as may be determined by FANX from time to time ("Fee"). The Fee shall be made via credit card or such other payment method as accepted by FANX ("Payment Method"). FANX shall reserve the right to introduce further Paid Services from time to time at its own discretion. All Fees are quoted in United States Dollar (USD) unless otherwise specified by FANX. The Fee is exclusive of all taxes, which shall be borne by you.

Your access to our Paid Services may start with a free trial, if any. For combinations with other offers, restrictions may apply. FANX reserves the right, in its absolute discretion, to determine your free trial eligibility.

The subscription to the Paid Services is based on an auto-renewal basis, whereby it will automatically be renewed upon the end of the applicable subscription period corresponding to the term of your subscription.

If we offer you a promotion (e.g. promotional price) for your subscription for the Paid Services, the specific terms of the promotion will be disclosed during your sign-up or in other materials provided to you describing the particular promotion. In the case of promotional pricing, after your promotion ends, we will begin billing you the regular price unless you cancel prior to the end of the promotion or unless otherwise disclosed in communications made available to you.

We reserve the right, in our sole discretion, to change, amend, modify, or vary the price, package, and/or features of the Paid Services subscription plan(s), at any time, with or without notice to you.

We will use all reasonable effort to ensure that the pricing and information for our Services/Paid Services stated therein are accurate; however, there are possibilities due to genuine error that the information of our Services/Paid Services may be inaccurate or any of our Paid Services may be priced incorrectly. If such situations arise, we reserve the right to take any appropriate action we deem necessary to rectify the same.

6. Cancellation of Subscription and Account Deletion

Cancellation of Subscription. You can cancel your subscription to the Paid Services at any time, and you will continue to have access to the Paid Services through the end of your billing period. To the extent permitted by the applicable law, payments are non-refundable, and we do not provide refunds for any unused Paid Services. For cancellation purposes, you may cancel your subscription by going to "Account settings" and following the instructions as stated therein.

Account Deletion. You may delete your account by contacting us at info@fanx.co. Upon the closure of your account and under your specific instruction for data erasure, we shall take all reasonable efforts to erase all data related to your account. We reserve the right to retain any data necessary under the applicable laws.

7. Proprietary Rights and Licenses

Please see below the type of content available at the Site:

  • "FANX Content" refers collectively to all text, data, graphics, images, FANX trademarks and logos, and other content (including Licensed Content) provided through the Site;
  • "Licensed Content" refers to any content provided to FANX by its third-party content partners made available through the Site, if any; and
  • "Contributor Content" refers collectively to all text, data, graphics, images, communications, messages, chat, audio, video, and other content and/or other information which is posted or uploaded by the contributor to the Site or Services, if any.

FANX Content. FANX owns all right, title, and interest, including all worldwide intellectual property rights, in the FANX Content (save for the Licensed Content). You will not remove, alter, or conceal any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Site, Services, FANX Content, and any other content made available through the Site. All rights in FANX Content are reserved.

Contributor Content. For the Contributor Content, you retain all rights in your Contributor Content. However, by uploading, posting, submitting, or otherwise transmitting any Contributor Content to the Site or Services, you hereby grant FANX a non-exclusive, worldwide, royalty-free, sub-licensable, perpetual, and irrevocable right and license to use, reproduce, modify, distribute, prepare derivative works of, display, publish, perform, and transmit your Contributor Content in connection with the Services, without limitation, for promotion and redistributing part or all of the Services (and derivative works thereof), in any media formats and through any media channels. As a contributor, you hereby represent and warrant that you own and/or have the necessary licenses, rights, consents, and permissions to grant the foregoing licenses to FANX. You acknowledge and agree that your posting of Contributor Content will comply with our Copyright and Intellectual Property Policy as set forth in Section 8 below.

Furthermore, you acknowledge and agree that FANX may, at its sole discretion, reclassify or recategorize any Contributor Content and establish limits concerning Contributor Content, including, without limitation, the maximum number of days the Contributor Content will remain available via the Site, the maximum size of any files that may be stored or uploaded to the Site and the maximum disk space that may be allocated to you for the storage of Contributor Content. FANX will have no responsibility or liability for maintaining copies of your Contributor Content on our Site, and you are solely responsible for creating back-ups of your Contributor Content.

8. Copyright and Intellectual Property Policy & Moral Rights Waiver

FANX respects the intellectual property rights of others and expects users of the Services to do the same. You may not upload, post, submit, transmit, display, perform, distribute, or otherwise make available any content on or through the Services that infringes or violates the copyrights, trademarks, or other intellectual property rights of any third party.

Without limiting the foregoing, you agree that:

  • You will only upload or post Contributor Content that you own or have the lawful right, license, or permission to use, reproduce, and distribute through the Services;
  • You will not copy, reproduce, distribute, publicly display, publicly perform, modify, create derivative works from, or otherwise exploit any FANX Content or Licensed Content without the prior written consent of FANX or the applicable rights holder;
  • You will not remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or accompanying any content made available through the Services.

FANX reserves the right, but does not have the obligation, to remove or disable access to any content that it believes, in its sole discretion, may infringe the intellectual property rights of others or otherwise violate these Terms of Use. FANX may take such action without prior notice to you.

Repeated or egregious violations of this Copyright and Intellectual Property Policy may result in the termination of your account, in accordance with FANX's repeat infringer policy set forth in Section 12.

To the maximum extent permitted under applicable law, you agree not to exercise any moral rights you may have in your Contributor Content against FANX, its affiliates, successors, licensees, and partners, including but not limited to the rights of attribution, integrity, and disclosure, to the extent necessary for FANX to use the Contributor Content in accordance with these Terms of Use. This includes FANX's rights to:

  • Edit, modify, adapt, translate, crop, resize, compress, format, or otherwise alter Contributor Content for technical, editorial, promotional, or operational purposes;
  • Use Contributor Content without identifying you as the author, or to identify you using your username, handle, or other attribution method determined by FANX;
  • Combine Contributor Content with other works, materials, or content; and
  • Use Contributor Content in connection with the operation, promotion, marketing, and improvement of the Services.

Nothing in this clause shall be interpreted as a transfer of ownership of your copyright in the Contributor Content. You retain ownership of your copyright, subject to the licenses granted to FANX under these Terms of Use.

9. Third Party Links and Advertisements

The Services may contain links to third-party websites and/or advertisements for third parties. These websites and/or advertisements are not owned or controlled by us, and we assume no responsibility for the content, privacy policies, or practices of these websites and/or advertisements. In addition, we will not and cannot censor or edit the content of any third-party website and/or advertisements. By using the Services, you acknowledge and agree that we shall not be responsible for your use of any third-party website and/or advertisements. Your use of all third-party websites and/or advertisements is at your own risk, and you should apply a suitable level of caution and discretion in doing so.

10. Intellectual Property Rights

You further agree that you are obtaining only a limited license to use and access the Services expressly set forth in these Terms of Use and that no ownership rights are being conveyed to you. FANX retains all right, title, and interest (including all patent, copyright, trademark, trade secret, and other intellectual property rights) in and to the Services, all related and underlying technology and documentation, and any derivative works or modifications. Further, you agree that the Services are offered as an online, hosted solution, and that you have no right to obtain a copy of any code underlying the Services. You may submit comments, questions, suggestions, or other feedback relating to FANX ("Feedback"), and you agree that FANX may freely use, copy, disclose, prepare derivative works based on, publicly perform or display, distribute and exploit any Feedback, bug reports or suggestions you provide to FANX regarding the Services, without any obligation, royalty or restriction based on intellectual property rights or otherwise.

11. Notification

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and it is accessible on these Services, you may notify our copyright agent. To be effective, a notification of claimed infringement must be a written communication provided to FANX's designated agent that includes substantially the following:

  • A physical or electronic signature of a person authorised to act on behalf of the owner of an exclusive right that is alleged infringed;
  • Identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works on the Services;
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit FANX to locate the material;
  • Information reasonably sufficient to permit FANX to contact the complaining party, such as an address, telephone number, and if available, an electronic mail address at which the complaining party may be contacted;
  • A statement that the complaining party has a good faith belief that the use of the material in the manner complained of is not authorised by the copyright owner, its agent, or the law; and
  • A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorised to act on behalf of the owner of an exclusive right that is alleged infringed.

12. Counter Repeat Infringer Policy and Takedown Policy

FANX is committed to complying with the notifications received under Section 11 and requires all users of the Services to comply as well. In order to protect the rights of copyright holders, FANX implements a repeat infringer policy under which it may terminate the accounts of users who repeatedly violate the Copyright and Intellectual Property Policy. FANX's repeat infringer policy is implemented seriously.

13. Aggregated Anonymous Data

Notwithstanding anything to the contrary herein, you agree that FANX may use, process, manipulate, modify, copy, publicly perform and display, compile, and create derivative works from data related to your use of the Services, including, but not limited to, using such data for internal business purposes, and for the improvement, support, and operation of the Services, and/or the development of other products or services.

FANX may disclose to third parties aggregate data derived from user activity or other data related to the Services, so long as such aggregate data is not personally identifiable with respect to any individual user, subject to applicable data protection laws. All service data, usage data, and other data that does not identify a user, including reports, derivative works, compilations, modifications, and other materials created by FANX from such data, will be the sole and exclusive property of FANX. You hereby assign any rights you may have in such data to FANX without any fees or future royalties.

14. Account Termination Policy

FANX reserves the right to terminate or suspend your account if you are determined to be a repeat infringer of intellectual property rights, or if your content violates these Terms of Use for other reasons, including but not limited to pornography, obscene, or illegal material. FANX may remove such content and/or terminate your account at any time, without prior notice, at its sole discretion.

15. Warranty Disclaimer

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You acknowledge and agree that your use of the Services is at your sole risk. FANX does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. FANX is not responsible for any content posted by other users or third parties, or for any damages or losses resulting from your interactions with other users or third-party services.

The Services may use AI technologies to generate content or recommendations. These technologies are experimental, and FANX does not guarantee the accuracy, reliability, or suitability of AI-generated results.

16. Limitation of Liability

To the maximum extent permitted by law, FANX, its officers, directors, employees, or agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

  • Errors, inaccuracies, or omissions in content;
  • Your use of or inability to use the Services;
  • Unauthorized access to, or use of, user data;
  • Interruptions, delays, or cessation of Services;
  • Viruses, malware, or other harmful components transmitted by third parties; or
  • Any interaction, transaction, or dispute with other users or third-party services.

You acknowledge that you are solely responsible for any harm resulting from your use of the Services or your reliance on content provided by FANX or other users.

17. Indemnity

You agree to defend, indemnify, and hold harmless FANX, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising out of:

  • Your use of the Services;
  • Your violation of these Terms of Use;
  • Your infringement of any third-party rights, including intellectual property, privacy, or other legal rights;
  • Your violation of applicable laws or regulations; or
  • Any content you submit or upload that causes harm to others.

This indemnification obligation survives termination of your account or your use of the Services. FANX may assume the defense of any claim at its discretion, and you agree to cooperate with such defense.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms of Use. FANX may assign its rights and obligations without restriction. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

19. Governing Law and Dispute Resolution

These Terms of Use are governed by the laws of Singapore. Any dispute arising out of or relating to these Terms or the Services shall be resolved in the courts of Singapore, unless otherwise agreed.

20. Entire Agreement

These Terms of Use constitute the entire agreement between you and FANX regarding the Services and supersede all prior agreements or understandings. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any provision shall not constitute a waiver of future enforcement.

21. Severability

If any provision of these Terms of Use is invalid or unenforceable under applicable law, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force.

22. Language

These Terms of Use are written in English. In the event of any conflict between English and any other language translation, the English version shall prevail.

23. Electronic Communications

By using the Services, you consent to receive communications electronically. Electronic communications satisfy any legal requirement for written communications. This does not affect any non-waivable legal rights you may have.
